ACS Automated Cleaning Services Inc., doing business as ACS Automated Cleaning Solutions ("Company," "we," "us," or "our"), provides the Overseer Mobile application (available on Android and iOS), Overseer 3D desktop application (collectively, the "Software" or "Apps"), and the client web portal accessible at https://portal.automated.cleaning (the "Portal"). This Terms and Conditions / End User License Agreement ("Agreement") governs your access to and use of the Software and Portal, including any content, functionality, and services offered through them. The Software and Portal are designed to allow authorized users to control and monitor robotic cleaning tools, access logs, view media, manage accounts, and interact with related features.

By downloading, installing, accessing, or using the Software or Portal, you ("User," "you," or "your") agree to be bound by this Agreement. If you are using the Software or Portal on behalf of an organization, you represent that you have the authority to bind that organization to this Agreement. If you do not agree, do not use the Software or Portal.

This Agreement incorporates by reference our Privacy Policy available at https://portal.automated.cleaning/privacy-policy.

Separate contracts for the lease or purchase of robotic tools take precedence over this Agreement in the event of any conflict. This Agreement applies solely to your use of the Software and Portal.

1. License Grant

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, access, and use the Software and Portal on compatible devices you own or control, solely for your internal business purposes in connection with our robotic cleaning tools. This license does not permit you to:

• Use the Software or Portal for any unlawful purpose or in violation of any applicable law.

• Modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works of the Software or Portal.

• Rent, lease, lend, sell, redistribute, or sublicense the Software or Portal.

• Remove or alter any proprietary notices or labels in the Software or Portal.

• Use the Software or Portal to develop competing products or services.

The Software and Portal may include open-source components; their licenses are available upon request.

2. Account and Access

To use the Software or Portal, you must create and maintain a valid account. Your Portal credentials serve as login information for the Software. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized use.

We reserve the right to suspend or terminate your access if you violate this Agreement or for any other reason, without liability.

3. Use of the Software and Portal

The Software and Portal enable you to:

• Control robotic tools, view operational logs, status, and maintenance records.

• Access and view media captured from tool cameras.

• Manage users, documents (e.g., NDAs, quotes), sign documents, and submit support tickets or warranty claims.

You agree to use the Software and Portal only in a safe, responsible manner. You must:

• Comply with all instructions, safety guidelines, and applicable laws when operating robotic tools.

• Not use the Software or Portal in a way that could cause harm, damage, or interference with others' property or safety.

• Ensure that any media captured complies with privacy laws (e.g., obtaining consents for recording in public or private spaces).

We are not responsible for any misuse of the Software, Portal, or robotic tools.

4. Beta Features

From time to time, we may make beta features available to certain users of the Software or Portal. These features will be clearly identified as beta or preview versions. By using beta features, you acknowledge that they may contain bugs, be incomplete, or change without notice. We encourage, but do not require, you to provide feedback on beta features to help us improve them. Beta features are provided "as is" without any warranties, and your use is at your own risk.

5. Intellectual Property

The Software and Portal, including all code, designs, graphics, interfaces, and related documentation, are owned by us or our licensors and protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted are reserved.

Any data you generate through the Software or Portal (e.g., logs, media) remains your property, but you grant us a worldwide, royalty-free, non-exclusive license to use, store, and process it as necessary to provide the services, improve the Software and Portal, and comply with legal obligations.

6. Updates and Support

We may provide updates, patches, or new versions of the Software or Portal at our discretion. You agree to install updates promptly, as older versions may become unsupported.

Support is provided as described in your service agreement or on the Portal. We do not guarantee uninterrupted access or error-free operation.

7. Fees and Payment

Access to basic features of the Software and Portal is included with your robotic tool agreement. For "Pro" features, a paid subscription is required. Subscriptions are month-to-month and managed directly by you in the Portal. You can purchase subscriptions, assign them to users, and cancel them at any time. Fees are non-refundable except as required by law. We may change fees with notice; continued use after changes constitutes acceptance.

You agree to provide accurate billing information and authorize us (or our payment processor) to charge the applicable fees. Failure to pay may result in suspension of pro features or account access.

8. Warranty Disclaimer

THE SOFTWARE AND PORTAL ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT THE SOFTWARE OR PORTAL WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED. YOU USE THE SOFTWARE AND PORTAL AT YOUR OWN RISK.

WE DO NOT WARRANT THAT THE SOFTWARE OR PORTAL WILL MEET YOUR REQUIREMENTS OR THAT OPERATION OF ROBOTIC TOOLS VIA THE SOFTWARE WILL PREVENT DAMAGE, INJURY, OR LOSS. WARRANTIES RELATED TO ROBOTIC TOOLS ARE GOVERNED BY SEPARATE AGREEMENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE, OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THIS AGREEMENT, THE SOFTWARE, OR THE PORTAL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold us harmless from any claims, losses, liabilities, damages, costs, and expenses (including attorneys' fees) arising from your use of the Software or Portal, violation of this Agreement, or infringement of third-party rights.

11. Termination

This Agreement remains in effect until terminated. You may terminate by uninstalling the Software, deleting your Portal account, and ceasing use. We may terminate immediately if you breach this Agreement. Upon termination, all licenses granted cease, and you must destroy all copies of the Software.

12. GDPR Compliance (For EU Residents)

If you are located in the European Economic Area (EEA), United Kingdom, or Switzerland, the following applies in addition to the rest of this Agreement:

• We process your personal data in accordance with our Privacy Policy and as necessary to perform our contract with you.

• You have rights under the General Data Protection Regulation (GDPR), including access, rectification, erasure, restriction, portability, and objection to processing. See our Privacy Policy for details on exercising these rights.

• For data transfers outside the EEA, we use appropriate safeguards such as Standard Contractual Clauses.

• In the event of a conflict between this Agreement and GDPR requirements, GDPR prevails.

13. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the Province of Alberta, Canada, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the courts of Alberta, Canada.

14. Miscellaneous

• Entire Agreement: This Agreement constitutes the entire understanding between you and us, superseding prior agreements.

• Severability: If any provision is invalid, the remainder remains enforceable.

• Waiver: No waiver of any term is binding unless in writing.

• Assignment: We may assign this Agreement; you may not without our consent.

• Force Majeure: We are not liable for delays due to events beyond our control.

• Export Controls: You agree to comply with export laws and not use the Software or Portal in prohibited countries or by restricted parties.

15. Changes to This Agreement

We may update this Agreement periodically. We will notify you of material changes via email or in-app/Portal notice. Continued use after changes constitutes acceptance.
